Fund Documentation

Detailed fund documentation, including the Private Placement Memorandum (PPM), Limited Partnership Agreement (LPA), and subscription documents, is available to qualified institutional investors upon request. Access to certain materials may require execution of a non-disclosure agreement.
Private Placement Memorandum
Comprehensive fund overview including investment strategy, risk factors, fund terms, and regulatory disclosures. Available under NDA to qualified investors.
Limited Partnership Agreement
The governing document of the fund, setting out the rights and obligations of limited partners and the general partner.
Side Letter Framework
Kennis Capital supports institutional side letters addressing reporting requirements, most-favoured-nation provisions, and co-investment rights.
Due Diligence Questionnaire
A completed ILPA-format due diligence questionnaire is available to prospective investors undertaking their evaluation process.
Confidentiality
Non-Disclosure Requirements
Certain fund materials, including the PPM, financial projections, and detailed fund terms, are classified as confidential and are made available only upon execution of a mutual non-disclosure agreement. This protects both the fund's proprietary strategy and the interests of existing limited partners.

Jersey Private Fund
KRAIF is structured as a Jersey Private Fund and is regulated by the Jersey Financial Services Commission (JFSC) under the Jersey Private Fund regime.
Fund Administration
Independent fund administration, including NAV calculation, investor reporting, and regulatory filings, is provided by an independent Jersey-regulated fund administrator.
Anti-Money Laundering
All investors are subject to AML/KYC verification in accordance with Jersey Money Laundering Order requirements and international best practice.
Data Protection
Investor data is processed in accordance with the Data Protection (Jersey) Law 2018 and, where applicable, the UK GDPR.
