1. Jersey Financial Services Commission
Kennis Wiser Capital Ltd is registered with the Jersey Financial Services Commission (“JFSC”) under the Financial Services (Jersey) Law 1998 for the conduct of fund services business. This registration permits Kennis Wiser Capital Ltd to act as general partner and manager of collective investment funds established under Jersey law. The JFSC registration does not constitute an endorsement or guarantee of the services provided by Kennis Wiser Capital Ltd, nor does it imply that the JFSC has approved the merits of any fund or investment product managed by the company.
2. Jersey Private Funds Regime
Funds managed by Kennis Wiser Capital Ltd operate under the Jersey Private Fund regime, as established under the Collective Investment Funds (Jersey) Law 1988. The Jersey Private Fund is a regulatory designation for funds that:
- Are offered to no more than 50 investors (or are offered by way of private placement and not available to the general public).
- Require each investor to make a minimum initial investment of not less than USD 250,000 (or equivalent) or to qualify as a professional or eligible investor.
- Are subject to the JFSC’s regulatory oversight, including ongoing reporting, governance, and compliance requirements.
3. UK Regulatory Considerations
Kennis Capital’s UK operations are conducted through its affiliated entities, AHFL and Kennis Wiser Tech. These UK entities are not authorised or regulated by the UK Financial Conduct Authority (“FCA”) and do not carry on regulated activities in the United Kingdom.
Where fund interests are promoted or distributed to investors in the United Kingdom, such activities are conducted in compliance with the Financial Services and Markets Act 2000 (“FSMA”) and the Financial Promotion Order. Communications relating to fund interests are directed solely at persons who fall within the categories of investment professional or high net worth company as defined in the Financial Promotion Order, or are otherwise exempt from the restrictions on financial promotion in section 21 of FSMA.
4. Investor Classification Requirements
Investment in funds managed by Kennis Wiser Capital Ltd is restricted to investors who meet the applicable classification requirements. Depending on the fund and the jurisdiction of the investor, this may include:
- Professional investors: Entities or individuals who possess the experience, knowledge, and expertise to make their own investment decisions and properly assess the risks involved.
- Eligible investors: Investors who meet the minimum investment thresholds or net worth requirements specified in the relevant fund documentation.
- Qualified purchasers: Where applicable, investors who meet the definition of “qualified purchaser” under applicable securities laws.
All prospective investors are subject to Kennis Capital’s investor onboarding procedures, including identity verification, suitability assessment, and anti-money laundering due diligence, prior to acceptance into any fund.
5. Anti-Money Laundering
Kennis Wiser Capital Ltd complies fully with the Proceeds of Crime (Jersey) Law 1999, the Money Laundering (Jersey) Order 2008, and all applicable JFSC guidance on anti-money laundering and countering the financing of terrorism. All investors are required to complete customer due diligence procedures, and ongoing monitoring is conducted in accordance with a risk-based approach.
