1. Corporate Governance Framework
Kennis Wiser Capital Ltd (“Kennis Capital”) is committed to the highest standards of corporate governance. As a Jersey-domiciled fund management company, our governance framework is designed to ensure accountability, transparency, and the protection of investor interests. Our governance practices are informed by the Jersey Financial Services Commission’s Codes of Practice for Fund Services Business and reflect internationally recognised principles of sound corporate governance.
2. Board Composition and Independence
The Board of Directors of Kennis Wiser Capital Ltd provides strategic direction and oversight of the company’s activities. The Board comprises a combination of executive and non-executive directors, with independent non-executive representation to ensure objective oversight.
The Board meets on a quarterly basis, or more frequently as required, and maintains clear terms of reference for its responsibilities, including approval of investment decisions, risk appetite, conflicts of interest management, and regulatory compliance. All directors are required to disclose potential conflicts of interest and to recuse themselves from decisions where a conflict exists.
3. Corporate Structure
Kennis Capital operates through a group structure designed to maintain clear regulatory and operational boundaries:
- Kennis Wiser Capital Ltd (Jersey): The parent entity and general partner of the funds under management, regulated under the Jersey Private Funds regime.
- AHFL (United Kingdom): Responsible for UK-based property operations, asset management, and tenant-facing activities.
- Kennis Wiser Tech (United Kingdom): Provides technology development and platform operations, including the proprietary Kennis OS platform.
4. Risk Management Oversight
The Board maintains overall responsibility for risk management and has established a risk framework that encompasses:
- Identification, assessment, and monitoring of key risks across investment, operational, regulatory, and technology domains.
- Clear risk appetite statements and escalation procedures.
- Regular risk reporting to the Board, with material risks reviewed at each quarterly meeting.
- Independent risk review conducted by external advisors on an annual basis.
5. Compliance Framework
Kennis Capital maintains a robust compliance function responsible for:
- Ensuring adherence to all applicable laws and regulations, including Jersey financial services legislation and, where applicable, UK regulatory requirements.
- Anti-money laundering and counter-terrorist financing compliance, including customer due diligence, ongoing monitoring, and suspicious activity reporting.
- Maintaining regulatory filings and reporting obligations with the Jersey Financial Services Commission.
- Monitoring changes in applicable laws and regulations and ensuring timely implementation of required changes.
6. Jersey JFSC Regulatory Status
Kennis Wiser Capital Ltd is registered with the Jersey Financial Services Commission under the Financial Services (Jersey) Law 1998 for the conduct of fund services business. The company operates under the Jersey Private Funds regime, which provides a proportionate regulatory framework for funds offered to a limited number of professional and eligible investors. Our registration requires ongoing compliance with JFSC Codes of Practice, including governance, risk management, and conduct of business requirements.
